Patrick O’Rourke: [00:00:01] Hi. Patrick O’Rourke here, and another installment of contract provisions in Network Participation Agreements that you should be aware of.

Patrick O’Rourke: [00:00:12] The confidentiality portion is reasonable, right? Typically, you know, they have their proprietary information. They have agreed to certain fees for you and you have agreed to keep them confidential. Now, there’s been a lot of real dangerous language put in there about, you know, irreparable harm and all kinds of other, really, language that can be used purposely and intentionally in a court of law to bankrupt you or to get you to settle. A bit one sided if it’s not mutual.

Patrick O’Rourke: [00:00:58] I’m not a lawyer, by the way, and neither is my opinion a substitute for qualified legal counsel licensed to practice law in your state. This is just one man’s opinion. Somebody who happens to read these contracts a lot and have been doing so for over two decades.

Patrick O’Rourke: [00:01:15] So, confidentiality, good, when they try to prevent or if the contract – not they – the contract language tries to prevent you from accessing the expertise of a subject matter expert, you know, consultant, attorney, anybody else who has expertise in these. That’s when I kind of raised an eyebrow. Again, is it mutual? Are you telling me that that particular payor or that network does not use network or consultants, outside business consultants, folks like myself, or anyone else? There’s a number of different consultants out there. They don’t use attorneys. They don’t use CPAs. I would find that very difficult to believe.

Patrick O’Rourke: [00:02:07] So, for what it’s worth, confidentiality, important. Access to others and to advisors, raising an eyebrow. So, thank you for joining me. Hope you have a terrific day.

When you see non-disparagement and that is irreparable harm and it’s kind of vague and one-sided, like they can talk all the smack they want about you, but you can’t say anything back to them.

Jennifer Shelhouse, BED, MArch, AIA, is the Chief Strategy Officer of Dayton Dental Collaborative, a multi-location comprehensive general/specialty privately owned dental practice in Dayton, Ohio. Jennifer has been associated with the dental field for most of her adult life from an after-school job in high school, to becoming a dental hygienist, then meeting her husband of 30 years Dr. Greg Shelhouse, and assisting him in the growth and success of his dental practice. Greg and Jennifer have grown their single-location practice to a multi-million, three practice location with regional and national recognition from many dental industry leaders.

Additionally, Jennifer achieved her Bachelor’s of Environmental Design and Masters of Architecture degrees and is a Registered Architect, designing health care facilities as well as her husband’s three office buildings from 2004 to the present. Jennifer’s designs have won AIA Design Awards, as well as Dental Practice of The Year from Dental Economics, a national dentistry publication. Jennifer still actively works as a practicing architect and designer for dental practices across the US. Jennifer believes in creating a supportive and respectful environment for her husband and office team members to thrive and be inspired. A dedicated advocate for the power of dentistry and architecture to create health and wellness, Jennifer believes that dentistry is only becoming better and more influential today and in the future.

Teresa is a frequent contributor to The Observer, The Progressive Dentist and Dr. Bicuspid publications. She served as a founding Trustee for the auxiliary-learning focused DALE Foundation. Teresa is a member of the National Association of Dental Plans and the National Speakers Association. Teresa also hosts her own podcast, “Nobody Told Me That!”

She has been named one of the Top 25 Women in Dentistry by Dental Products Report Magazine and is recognized yearly as a Leader in Consulting by Dentistry Today. Most recently she provided consulting assistance in the development of several modules of the American Dental Association’s Guidelines for Practice Success™. Teresa received her Master’s Degree in Healthcare Management from Marymount University.
